Terms of Service

1. Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you and Literary Worx LLC, a Texas veteran-owned limited liability company (File No. 806594602, EIN 42-2488616), governing your access to and use of the Balosys AI-powered compliance intelligence platform at balosys.com.

If you access the platform on behalf of a regulated financial institution or other organization, you represent that you have authority to bind that organization to these Terms.

2. AI Platform Disclaimer

You acknowledge and agree that:

• Balosys outputs are generated by AI and are not legal advice or the opinion of a licensed attorney.
• Balosys does not establish an attorney-client relationship.
• Outputs may not account for all applicable facts, jurisdiction-specific rules, recent regulatory changes, or supervisory expectations.
• Outputs should not be the sole basis for compliance decisions, regulatory filings, or examination responses.
• The Company is not responsible for regulatory action or legal liability arising from your reliance on Balosys outputs.

3. Texas Responsible AI Governance Act (TRAIGA)

The Balosys platform has been designed and deployed in compliance with TRAIGA (HB 149), effective January 1, 2026. The platform is designed exclusively to provide AI-assisted compliance intelligence to qualified professionals at regulated financial institutions.

You represent that you will not use the platform for any TRAIGA-prohibited purpose, including unlawful discrimination, manipulation or harm of individuals, or any conduct prohibited under TRAIGA Section 541.101. Prohibited use constitutes a material breach and may result in immediate termination and legal remedies.

The Company has structured AI governance practices in alignment with the NIST AI Risk Management Framework, which constitutes a recognized compliance standard under TRAIGA's safe harbor provisions.

4. Eligibility and Account Registration

The platform is intended for qualified professionals in regulated financial services. You must be at least 18 years of age and provide accurate registration information, including a valid business email and phone number. Phone verification is required for free trial activation.

Each user may maintain one active account. Creating multiple accounts to circumvent trial limitations is a material breach.

5. Subscription Tiers and Payment

Balosys offers Free Trial, Consult Basic ($79/month), Consult Pro ($149/month), Monitor ($399/month), Escalate ($599/month), à la carte sessions ($39/session), and the Regina Mercer Regulatory Intelligence add-on ($49/month, available on Consult Pro only). Annual billing is available at a 17% discount. Paid subscriptions are billed in advance. Fees are non-refundable except as required by law.

6. Platform Use and Restrictions

Your use is subject to our Acceptable Use Policy, incorporated herein by reference. Prohibited uses include violating applicable law (including TRAIGA), infringing third-party rights, reverse engineering the platform, using outputs to train competing AI models, and misrepresenting Balosys outputs as authoritative legal or regulatory rulings.

7. Intellectual Property

The platform, including AI models, system prompts, specialist personas, software, design, and trademarks, is owned by Literary Worx LLC. You receive a limited, non-exclusive, non-transferable license for internal professional compliance purposes during your subscription term.

You retain ownership of content you submit. You grant the Company a limited license to process that content solely to provide the requested service.

8. Disclaimer of Warranties

The platform is provided “as is” and “as available” without warranties of any kind. The Company does not warrant accuracy, completeness, uninterrupted availability, or that outputs will meet your specific compliance requirements.

9. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, consequential, or punitive damages, including regulatory penalties or examination findings. Total liability shall not exceed the greater of fees paid in the prior twelve months or $100.00.

10. Indemnification

You agree to indemnify the Company against claims arising from your use of or reliance on the platform, your violation of these Terms or applicable law (including TRAIGA), your content, or TRAIGA enforcement actions arising from your prohibited use.

11. Term and Termination

These Terms remain in effect for your subscription duration. The Company may suspend or terminate access for breach, prohibited use, or non-payment. Sections on disclaimers, liability, indemnification, governing law, and general provisions survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by Texas law, including TRAIGA. Disputes shall be submitted to binding arbitration in Bexar County, Texas under AAA rules, except for injunctive relief regarding intellectual property. You waive jury trial and class action rights.

13. General Provisions

These Terms, together with the Privacy Policy, Acceptable Use Policy, Cookie Policy, and Responsible Disclosure Policy, constitute the entire agreement. The Company may modify these Terms to reflect changes in applicable law. Contact: info@literaryworx.com.
